<p>Best Buy continues to wield its giant sword in the home electronics market with exclusive offerings of the new Klipsch Icon V.  The Icon V Series rings in at $950/pr for the VF-36 floorstanders, $750/pr for the VF-35 floorstanders, $300/pr for the VB-15 bookshelf speakers, $280 each for the VC-25 center channel and $330/pr for the VS-14 surrounds. Also coming from Klipsch will be two new Icon V Series subwoofers in January 2009.<span id="more-151"></span></p>
<p>INDIANAPOLIS (October 1, 2008) — Music and movie lovers across the nation now have the opportunity to enjoy premium sound at a not so premium price thanks to a fresh line of Klipsch® home audio speakers that are sold exclusively through Best Buy®.</p>
<p>The latest five-model Icon V Series—an all-new product class for Klipsch—was born out of feedback the legendary speaker company received from Best Buy’s employees and customers—information reflecting that people want superior, value-priced sound in the lifestyle speaker category.</p>
<p>“Giving our customers great entertainment experiences is what we’re all about—something that can only happen when you sell the best possible product solutions for their needs,” said Mike Mohan, senior vice president of home theater for Best Buy. “Over the years, we’ve worked closely with Klipsch to provide our shoppers with speaker products that deliver best-in-class performance and value.”</p>
<p>According to Mark Casavant, Klipsch vice president of product development, Klipsch was able to address all of Best Buy’s needs when building the Icon V line. “You’ll find that these home theater speakers are purpose built, equally focusing on sound, style and value. In fact, Icon V is a superb entry point into Klipsch sound performance. Never before has our power, detail and emotion been available in this size footprint and price point.”</p>
<p>Consisting of two floorstanders (VF-36 and VF-35) and single bookshelf (VB-15), center channel (VC-25) and surround (VS-14) models, each Icon V design uses highly reliable components and patent-pending horn technology to deliver rich, full-bodied sound performances from cabinets that are a lot slimmer than traditional speakers. “V fills the market gap for slender, cosmetically pleasing audio products that sound just as amazing as much larger, more expensive models,” said Casavant.</p>
<p>He also noted that horn-loaded tweeters have been the driving force behind Klipsch’s stunningly precise sound for over 60 years. The latest XT design found in Icon V Series takes the company’s time-proven philosophies to the next level by altering the surface geometry of each speaker’s Tractrix® Horn. As a result, listeners can enjoy amazingly broad sound coverage with smooth response and constant directivity. And as always, horn-loading makes Klipsch speakers easy to drive with a typical A/V receiver.</p>
<p>Other sound enhancing features of the Icon V lineup include aluminum tweeters for improved tonal balance, fiber-composite lightweight woofer cones for high output dynamics and deep bass, as well as high-definition, precision-voiced crossovers for tighter tolerance and higher accuracy.</p>

<p>MINNEAPOLIS AND LOS ANGELES (Sept. 15, 2008) - Best Buy Co., Inc. (NYSE:BBY) and Napster Inc. (NASDAQ:NAPS) announced today that the two companies have entered into a definitive merger agreement for Best Buy to commence a tender offer for all outstanding Napster shares at a price of $2.65 per share in cash.   The transaction, with an aggregate purchase price of approximately $121 million (or $54 million net of approximately $67 million in cash and short term investments of Napster as of June 30, 2008), is subject to customary closing conditions, including the tender of a number of Napster shares that constitutes a majority of Napster&#8217;s outstanding shares of common stock (on a fully-diluted basis). The transaction is expected to close during the fourth calendar quarter.   The transaction has been unanimously approved by the board of directors of Napster, and Napster&#8217;s directors and executive officers have agreed, in their capacities as stockholders, to tender their Napster shares and otherwise support the transaction.</p>
<p>The proposed acquisition includes Napster&#8217;s approximately 700,000 digital entertainment subscribers, its Web-based customer service platform, and innovative mobile capabilities. In conjunction with the definitive merger agreement, Napster CEO Chris Gorog and key members of senior management of Napster have entered into employment agreements, effective at closing, pursuant to which they have agreed to continue as the Napster leadership post-acquisition.</p>
<p>Best Buy believes that Napster has one of the most comprehensive and easy-to-use music offerings in the industry, including streaming music, music subscriptions, the ability to purchase individual tracks, albums and mobile offers. Napster has approximately 140 employees, with its headquarters in Los Angeles. At this time, Best Buy does not plan to relocate Napster&#8217;s headquarters or to make significant changes in personnel.</p>
<p>&quot;This transaction offers Best Buy a recognized platform for enhancing our capabilities in the digital media space and building new, recurring relationships with customers,&quot; said Brian Dunn, President and COO of Best Buy. &quot;Over time we hope to strengthen our offerings to consumers, who we believe will increasingly seek devices and solutions that enable them to access their content wherever, whenever and however they want.&quot;</p>
<p>Best Buy intends to use Napster&#8217;s capabilities and digital subscriber base to reach new customers with an enhanced experience for exploring and selecting music and other digital entertainment products over an increasing array of devices. Best Buy believes the combined capabilities of the two companies will allow it to build stronger relationships with customers, expand the number of subscribers, and capture recurring revenue by offering ongoing value over a mobile digital platform.</p>
<p>&quot;We believe Napster brings us excellent capabilities in the mobility space, as well as international operations and an established team of technology experts,&quot; said Dave Morrish, Executive Vice President - Connected Digital Solutions of Best Buy. &quot;We can foresee Napster acting as a platform for accelerating our growth in the emerging industry of digital entertainment, beyond music subscriptions. <p>Under the terms of the definitive merger agreement, Best Buy will commence a cash tender offer to purchase all of the outstanding shares of Napster common stock for $2.65 per share in cash, with a supporting recommendation from the Napster Board of Directors. The closing of the tender offer is subject to customary terms and conditions, including the tender of a number of shares that constitutes a majority of Napster&#8217;s outstanding shares of common stock (on a fully diluted basis) and expiration or termination of the waiting period under the Hart Scott Rodino Antitrust Improvement Act. The agreement also provides for the parties to effect, subject to customary conditions, a merger to be completed following the completion of the tender offer which would result in all shares not tendered in the tender offer (other than shares held by Best Buy, treasury shares, and shares held by Napster shareholders, if any, who properly exercise appraisal rights) being converted into the right to receive $2.65 per share in cash. The directors and certain officers of Napster have entered into agreements with Best Buy pursuant to which they have agreed to tender their shares in connection with the tender offer contemplated by the merger agreement and otherwise support the transaction.</p>
<p>Napster, which recently launched one of the world&#8217;s largest MP3 stores, had fiscal 2008 revenue of $127.5 million, an increase of 15 percent over the prior fiscal year; a loss of $16.5 million, an improvement compared with a loss of $36.8 million the prior fiscal year; and positive cash flow for the fiscal year ended March 31, 2008.</p>
<p>Best Buy intends to complete the acquisition using available cash. UBS Investment Bank served as the exclusive financial advisor to Napster, and Napster is represented by O&#8217;Melveny &amp; Myers LLP. Best Buy is represented by Robins, Kaplan, Miller &amp; Ciresi L.L.P.</p>

<p>ORLANDO - September 3, 2008 - The HD Digital Radio Alliance, a joint initiative of leading radio broadcasters to accelerate the rollout of HD Digital Radio, today marked three successful years, noting successes across consumer awareness, accelerated demand, broader distribution, and lower price points. The Alliance also announced that on January 1st, 2009, Peter Ferrara will assume a new role as Strategic Advisor as Diane Warren becomes president of the Alliance.</p>
<p>&#8220;When we began putting the pieces in place for the Alliance in the fall of 2005, there was little attention being paid to HD Radio and the industry lacked a plan to make it a reality. There were only a few HD stations on the air, no automakers offered an HD Radio and no national retailers carried receivers,&#8221; said Peter Ferrara, President/CEO of the HD Digital Radio Alliance. &#8220;Today, it is gratifying to know how far we&#8217;ve come in three short years. While there is still much to do, this has been an unprecedented effort with unparalleled success within the radio industry. It&#8217;s a testament to what broadcasters can achieve when the industry comes together with a clear purpose and mission.&#8221;</p>
<p>At the Alliance&#8217;s official launch in early December 2005, about 300 HD Radio stations were on the air, with 40 of those offering HD2 multicasts. Only one HD Radio receiver was commercially available, and it cost $500.</p>
<p>Today, the picture is quite improved. There are now more than 1750 HD Radio stations on the air, with more than 800 offering HD2 and/or HD3 multicasts. There are more than 60 SKUs for HD Radio receivers and they are available at more than 12,000 retail outlets. National retailers carrying HD Radio receivers include Wal-Mart, Target, Best Buy and Apple Stores. Automakers offering HD Radio features as factory or dealer options span 14 brands across 82 models, including Ford/Lincoln/Mercury, Volvo, BMW, MINI USA, Mercedes, Toyota Scion, Hyundai Genesis, and Jaguar. And price points now invite the mass market, with multiple receivers now available for less than $100, and one receiver even available at $49 with rebate.</p>
<p>In addition, HD Radio content is moving beyond simply better sound to include innovative and groundbreaking features never before available from any digital media. iTunes Tagging has turned a one-time competitor into a collaborator; innovative data services such as real-time traffic and location-based services are coming to market; and niche content already available on HD2 and HD3 channels will soon be complemented by premium content available on a receiver-by-receiver basis.</p>
<p>Separately today, the Alliance announced that restrictions governing how member broadcasters can program and generate revenue from HD2 channels have been lifted, effective immediately. The broadcasters agreed to voluntary guidelines, instead, aimed at preserving the diversity and clutter-free nature of today&#8217;s HD2 channels.<br />
Driving consumer demand</p>
<p>In recognition of these gains, the Alliance this year expanded its original focus to also embrace converting substantial consumer interest into purchasing demand. So far, the results are impressive.</p>
<p>In addition to amending its groundbreaking radio advertising campaign, the Alliance expanded the role of its HDRadio.com Web site and launched an innovative, direct-to-consumer mobile text marketing campaign.</p>
<p>&#8220;The response to our consumer marketing has significantly exceeded our expectations,&#8221; said Diane Warren, executive vice president of the HD Digital Radio Alliance and the leader of the marketing campaign. &#8220;The broadcasters remain committed to the strong radio advertising campaign, HDRadio.com is the destination for consumer information and even after three years, 80% of our visitors are new to HDRadio.com each month. We&#8217;ve seen success driving consumers to HDRadio.com with our auto show, on-line, outdoor, newspaper and mobile text marketing too.&#8221;</p>
<p>HDRadio.com has generated more than three million page views since the beginning of 2008 and 84% of the visitors are new to the site and coming to learn about HDRadio.com for the first time. Separately, the Alliance&#8217;s mobile texting campaign invites consumers to &#8220;Text WIN (or UPGRADE) to &#8220;34343&#8243; to have a conversation about HD Radio and to receive more information in return including the HD Radio Buyers Guide and the local Station Guide right on their personal phone. The opt-in rates, as consumers register to win an iLUV HD Radio are running between 62% and 85%. That compares favorably to both mobile texting campaigns in general as well as conventional direct-response methods. Successful conventional direct response, including e-mail campaigns, typically shows a 2% to 4% response rate.</p>
<p>&#8220;As we look forward, we&#8217;ll remember 2008 as a breakout year for HD Radio,&#8221; predicts Warren. &#8220;In the meantime, there remains much to do and the Alliance looks forward to working closely with industry organizations, iBiquity Digital Corporation, radio broadcasters, auto makers, dealers and retailers to bring this important new technology fully to market.&#8221;<br />
